Acquisition and Cross-Border Reorganisation in Large-Scale Investment and Agricultural Projects

Acted as legal counsel to an international investment fund managing tens of millions of euros in committed capital in connection with the acquisition of fund interests and operating entities engaged in large-scale agricultural projects.

The transaction involved a complex cross-border structure and a corporate reorganisation, including a de-merger of a Cyprus company and the transfer of a specific business sector to a newly established foreign special purpose vehicle. We advised on structuring, risk allocation, and prepared and negotiated the full suite of multi-million-euro transactional and corporate documentation.
